Terms of Service & Engagement

These Terms govern your use of WebCraft Studio services, websites, client portals, and custom software engineering deliverables. Please review them carefully before initiating project engagements.

1. Acceptance & Scope of Terms

By accessing WebCraft Studio ("Agency", "We", "Us") digital platforms, contracting custom engineering services, or utilizing our Client Portal, you ("Client", "User") agree to be bound by these Terms of Service.

Specific project deliverables, milestone roadmaps, budget schedules, and technology choices will be formalized in individual Statements of Work (SOW) or Proposals referencing these Terms.

2. Custom Engineering & Sprint Cycles

WebCraft Studio provides bespoke website development, SaaS custom software engineering, AI workflow automation, and UI/UX vector design. All projects adhere to agile sprint cycles with clear milestone sign-offs.

  • Scope modifications or additional feature requests made during development will be evaluated via a formal Change Request (CR) process and may impact milestone timelines and costs.
  • Client approvals at designated milestone checkpoints signify acceptance of work completed up to that phase.

3. Intellectual Property Rights

Upon final payment clearance for a project, 100% full intellectual property ownership of bespoke source code, database structures, custom designs, and visual assets built for the Client transfers directly to the Client.

WebCraft Studio retains ownership of pre-existing core agency frameworks, open-source libraries, and general developer utilities integrated into the solution, granting the Client a perpetual, non-exclusive royalty-free license to use them.

4. Invoicing, Deposits & Payments

Project billing parameters are structured transparently according to agreed project proposals:

  • An initial deposit is required prior to project kickoff and architectural mapping.
  • Progress invoices issued at milestone completions are payable within 14 business days via our secure payment gateway options.
  • Late invoices past 30 days may incur a standard 1.5% monthly late fee and temporary suspension of active staging deployment updates.

5. Client Responsibilities & Content

The Client agrees to provide necessary branding materials, text copy, API credentials, and feedback in a timely manner. The Client warrants that all assets provided do not infringe upon any third-party intellectual property or copyright laws.

6. Warranties & SLA Maintenance

WebCraft Studio provides a 30-day post-launch warranty covering bug fixes and technical remediation for software delivered under the original SOW at no additional charge.

Ongoing server monitoring, security updates, feature additions, and 24/7 uptime SLAs are provided under dedicated Monthly Enterprise Care plans.

7. Limitation of Liability

To the maximum extent permitted by applicable law, WebCraft Studio shall not be liable for indirect, incidental, or consequential damages, including loss of data or business disruption arising from third-party hosting outages, external API modifications, or client-managed server changes.

8. Termination & Governing Law

Either party may terminate an engagement with 30 days written notice. In the event of early termination, the Client pays for work completed up to the date of notice.

These Terms shall be governed by and construed in accordance with applicable legal principles, without regard to conflict of law rules.
